This document is a launch-ready business/legal template and should be reviewed by qualified legal counsel before public release.

1. Agreement to These Terms

These Terms of Service govern your access to and use of Taskologic, Flo, FloHQ, and related websites, applications, APIs, AI features, collaboration tools, live session tools, documents, projects, tasks, moments, memory, followups, and any other services provided by Testamplify LLC.

By creating an account, accessing the platform, joining a workspace, starting a live session, uploading content, using AI features, or subscribing to a paid plan, you agree to these Terms.

If you are using the Services on behalf of a company, organization, agency, school, or other legal entity, you represent that you have authority to bind that organization to these Terms.

2. Products Covered

These Terms apply to:

  • Taskologic: the work engine for projects, tasks, documents, chat, workflows, operational visibility, and execution.
  • Flo: the operational flow layer for live sessions, moments, memory, followups, transcripts, AI capture, and conversation continuity.
  • FloHQ: the standalone Flo experience that may connect to or amplify into Taskologic.
  • Any future modules, agents, integrations, APIs, or companion products released under the Taskologic or Flo ecosystem.

3. Accounts and Workspaces

You are responsible for maintaining accurate account information, protecting your login credentials, and ensuring that users invited into your workspace follow these Terms.

Workspace owners and admins may control settings, users, billing, access levels, data retention, AI features, recording settings, and integrations.

You are responsible for all activity that occurs under your account or workspace, including content submitted by invited users.

4. Acceptable Use

You may not use the Services to:

  • violate any law or regulation
  • infringe intellectual property rights
  • harass, threaten, exploit, or harm others
  • upload malware, spyware, harmful code, or unauthorized automation
  • scrape, reverse engineer, or interfere with the Services
  • attempt unauthorized access to accounts, workspaces, systems, or data
  • use the Services to create, store, or distribute unlawful, deceptive, or harmful content
  • misuse AI features to impersonate, deceive, defame, or manipulate others
  • record or transcribe people without required consent

We may suspend or terminate access if we believe a user or workspace violates these Terms.

5. Customer Content

“Customer Content” includes documents, tasks, projects, chats, meetings, transcripts, recordings, moments, files, notes, followups, prompts, AI inputs, AI outputs, workspace data, and any other content submitted to or generated through the Services.

You retain ownership of your Customer Content. You grant us a limited license to host, process, transmit, display, analyze, index, summarize, and otherwise use Customer Content only as necessary to provide, secure, improve, and support the Services.

6. AI Features

Taskologic and Flo may use AI to:

  • summarize conversations
  • transcribe live sessions or recordings
  • extract decisions, action items, and followups
  • suggest tasks, projects, owners, deadlines, or workflows
  • search operational memory
  • generate recommendations
  • assist with work coordination

AI outputs may be incomplete, inaccurate, delayed, or inappropriate for certain use cases. You are responsible for reviewing AI-generated content before relying on it, sharing it, or using it for business decisions.

The Services do not provide legal, financial, medical, employment, compliance, or professional advice.

7. Recordings, Transcripts, and Consent

Flo Live and related features may allow users to record sessions, generate transcripts, analyze conversations, and create summaries, decisions, followups, and memory entries.

You are responsible for obtaining any legally required consent before recording, transcribing, analyzing, or sharing conversations. Workspace admins may configure recording, transcription, AI analysis, and retention settings.

8. Subscriptions, Billing, and Usage Limits

Some Services require paid subscriptions. Plans may include limits on:

  • users or seats
  • workspaces
  • live session minutes
  • recordings
  • storage
  • AI credits
  • transcripts
  • moments
  • memory indexing
  • integrations
  • automation or agent usage

You agree to pay all fees associated with your selected plan and any approved overages. Fees are generally non-refundable except as stated in our Refund Policy or required by law.

9. Trials and Promotions

We may offer free trials, early access pricing, launch promotions, discounted plans, or limited founding-customer offers. Trial and promotional terms may vary and may end or change at our discretion.

10. Third-Party Services

The Services may integrate with third-party providers, including but not limited to hosting, analytics, payments, AI model providers, video infrastructure, storage, communications, authentication, and productivity tools.

We are not responsible for third-party services, outages, policies, security events, pricing changes, or data handling outside our control.

11. Service Availability

We aim to provide reliable access, but the Services may be interrupted, delayed, limited, or unavailable due to maintenance, upgrades, outages, third-party failures, security events, capacity constraints, or circumstances beyond our control.

We do not guarantee uninterrupted or error-free service unless a separate written SLA applies.

12. Intellectual Property

The Services, platform design, software, code, workflows, interfaces, brand assets, logos, product names, documentation, and underlying technology are owned by Testamplify LLC or its licensors.

You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as expressly allowed.

13. Confidentiality

If you receive non-public information through the Services, early access programs, demos, private beta features, or enterprise discussions, you agree to protect that information and not disclose it without permission.

14. Suspension and Termination

We may suspend or terminate access if:

  • payment fails
  • you violate these Terms
  • your use creates security, legal, or operational risk
  • you misuse AI, recordings, integrations, or platform resources
  • we are required to do so by law

You may cancel your subscription according to the Billing Policy.

15. Disclaimers

The Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability to the fullest extent permitted by law.

16. Limitation of Liability

To the fullest extent permitted by law, Testamplify LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

17. Indemnification

You agree to defend, indemnify, and hold harmless Testamplify LLC from claims arising out of your Customer Content, your use of the Services, your violation of these Terms, or your violation of third-party rights or applicable law.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the platform, website, or email where appropriate. Continued use after changes means you accept the updated Terms.
